Participation in the What’s in Your Bag Giveaway (the “Giveaway”) constitutes your agreement to be bound by these Official Rules.

Eligibility

Open only to legal residents of the United States, 18 years of age or older at the time of entry, who are influencers/affiliates for Truvani and that received a complimentary Truvani tote bag with the Giveaway postcard invitation. Void outside of the 50 United States. Void where prohibited by law.

Giveaway Period

The Giveaway begins on 3/1/2025, at 9:00 a.m. Pacific Time and ends on 3/31/2025, at 11:59 p.m. Pacific Time.

Entry

Instagram: To enter the Giveaway, participants must post a picture or video of them with their complimentary Truvani tote, share what she/he/they put in their Truvani tote (such as going to the gym, working, traveling, or going to the beach), tagging Truvani (@Truvani), and prominently and conspicuously disclosing the material connection with Truvani (ex: “#TruvaniPartner” before the fold/cut line).

Only one (1) entry per person is permitted.

By participating in this Giveaway, each entrant hereby warrants and represents that his/her/their Entry and any materials associated with his/her Entry (“Entry Materials”):

1. are original to him/her and/or that the entrant has obtained all necessary rights in and to the Entry Materials for the purposes of submitting such Entry Materials in this Giveaway;
2. do not violate any law, statute, ordinance or regulation;
3. do not contain any reference to or likeness of any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the legal age of majority in their jurisdiction of residence;
4. will not give rise to any claims whatsoever, including, without limitation, claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party; and
5. are not defamatory, trade libelous, pornographic or obscene, and further that such Entry Materials will not contain, depict, include, discuss or involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups (including, without limitation, any competitors of Sponsor); content that endorses, condones and/or discusses any illegal, inappropriate or risky behavior or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of Sponsor; any identifiable third party products, trade-marks, brands and/or logos, other than those of Sponsor (e.g. any clothing worn and/or products appearing in your Entry Materials must not contain any visible logos, trade-marks or other third party materials unless the appropriate consents have been obtained; conduct or other activities in violation of these rules; and/or any other materials that are or could be considered inappropriate, unsuitable or offensive, all as determined by Sponsor in its sole discretion.

Entrants agree to assign and hereby do assign to Sponsor the ownership rights to all Entries. Upon the Sponsor’s request, Entrant’s agree to sign any further document(s) as may be deemed necessary by the Sponsor in its sole and absolute discretion to perfect, or give full effect, to such grant and assignment.

Once an Entrant submits an Entry, it cannot be changed or deleted. Entries will be reviewed for content by Sponsor and Sponsor reserves the right to screen and/or remove any Entry, in its sole and absolute discretion. If this Giveaway is not completed in accordance with these Official Rules the participant’s Entry will be voided.

Prize

The winner will receive a Truvani tote bag that includes: 1 Celine Hairclip, 1 Celine Wallet, 1 La Bonne Brosee Hairbrush, 1 Bottega Veneta Sunglasses, 1 Westman Atelier Lip gloss, 1 Westman Atelier Compact, Truvani The Only Bars, and Single Serves of Truvani Plant Based Protein with an approximate retail value of $2,000. 1 prize is available. All prizes will be awarded. No alternative prize, cash or other substitution is permitted except in the sole discretion of the Sponsor in the event of prize unavailability. All federal, state and/or local taxes are the sole responsibility of the winner.

Selection of Winner/Odds of Winning

The winner will be selected from all eligible entries received in a random drawing on or about 3/31/2025. Potential winner will be notified by direct message on Instagram, which will be sent via the @truvani Instagram account - this is the only method in which winners will be contacted. If a prize notification or prize is returned as undeliverable, the prize will be forfeited by potential winner and awarded to an alternate winner. As a condition to receiving the prize, the winner will be required to sign and return an affidavit of eligibility and liability and publicity release (“Affidavit and Release”). The winner agrees to the use of his or her name, voice and likeness for promotional purposes without further compensation, unless prohibited by law. Winner should allow approximately 3 to 4 weeks after notification that winner has won a prize to receive the prize. The odds of winning the prize depends on the number of eligible entries received.

General Conditions

No purchase necessary. A purchase will not improve your chances of winning. Sponsor reserves the right to cancel, suspend and/or modify the Giveaway, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Giveaway as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right to award the prizes at random from among the eligible entries received up to the time of the impairment. Sponsor reserves the right to disqualify, in its sole discretion, any person acting in an unsportsmanlike or disruptive manner, or tampering with the entry process, the operation of the systems required to conduct the Giveaway or operate the Sponsor web site, or who is otherwise in violation of these Official Rules. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winners may be required to show proof of being the authorized account holder.

Limitations of Liability

Sponsor, its parents, affiliates, related companies, officers, directors, employees, agents, representatives, partners and licensors are not responsible for and shall not be liable for: (i) misdirected or delayed mail, e-mail or text messages; (ii) telephone, telecommunications, hardware or third party software malfunctions, failures, or difficulties of any kind; (iii) any injuries, losses, or damages of any kind arising in connection with or as a result of participating in the Giveaway or possession or use of any prize; (iv) any incorrect or inaccurate information, whether caused by entrants or by any of the equipment or programming associated with or utilized in the Giveaway; (v) any printing or typographical errors in any materials associated with the Giveaway; or (vi) any condition caused by events beyond Sponsor’s control that may cause the Giveaway to be disrupted, corrupted or terminated. No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.

The Giveaway is in no way sponsored, endorsed or administered by, or associated with Meta Platforms, Inc. (“Meta”) or the Instagram service and application that Meta provides. You hereby agree to release, discharge, and hold harmless Meta from any and all liability, claims, losses, and damages arising out of or in connection with the Giveaway, including, but not limited to, any injuries, damages, or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from the Giveaway.

Disputes

Except where prohibited, entrant agrees that: (i) any disputes, claims and causes of action arising out of or connected with this Giveaway or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by a state or federal court located in Los Angeles, CA; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Giveaway, but in no event attorneys’ fees; and (iii) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant, shall be shall be determined by Sponsor in its sole discretion and governed by the laws of the State of California, without giving effect to any choice of law or conflict of law rules which would cause the application of the laws of any jurisdiction other than the State of California.

Privacy

Information collected from entrants will be used for administration of this Promotion, prize notification and delivery, posting the name of winner on the Winners List, and is otherwise subject to the Sponsor’s Privacy Policy at https://www.truvani.com/privacy.
